Datavault AI Signs $94.5M All-Cash Deal to Acquire CyberCatch Ahead of Q2 Earnings and Amid Shareholder Lawsuit Deadline

Datavault AI Inc. (NASDAQ: DVLT) announced a definitive agreement on August 17-18, 2026 to acquire CyberCatch Holdings, Inc. (TSXV: CYBE) in an all-cash transaction valued at $94.5 million. The deal, structured as a court-approved plan of arrangement under the Business Corporations Act of British Columbia, calls for Datavault AI to pay $3.53 per share for approximately 26.8 million outstanding CyberCatch common shares. The agreement replaces an earlier all-stock proposal from May 2026, when Datavault had planned to issue roughly 49.9 million new shares in exchange for CyberCatch's outstanding stock.

CyberCatch, headquartered in San Diego, California and listed on both the TSX Venture Exchange and the OTCQB Venture Market, offers a patented AI-enabled platform for continuous cybersecurity compliance and cyber risk mitigation. Upon closing, CyberCatch will operate as a subsidiary of Datavault AI. The transaction remains subject to board, stock exchange, regulatory, and shareholder approvals.

Separately, Datavault AI is scheduled to report Q2 2026 earnings on August 19, with investors watching against a backdrop of securities class action litigation.
