Viatris Acquires Pacira BioSciences for $1.65 Billion at $36.50 Per Share in All-Cash Deal

Viatris agreed on October 8, 2026 to acquire Pacira BioSciences in an all-cash deal at $36.50 per share, representing total aggregate equity value of $1.65 billion. The offer price sent Pacira shares surging approximately 44% in premarket trading and the stock held those gains through the session.

The acquisition positions Pittsburgh-based Viatris as a leader in non-opioid pain therapies, adding two patent-protected, high-margin products to its portfolio. Those products are EXPAREL, a bupivacaine liposome injectable suspension, and ZILRETTA, a triamcinolone acetonide extended-release injectable suspension. Pacira, headquartered in Brisbane, California, generated approximately $746 million in total revenue and roughly $177 million in adjusted EBITDA over the twelve months ended June 30, 2026. Viatris intends to expand the commercial reach of both products following the close of the transaction.
